1. Parent/Guardian Authority

I certify that I am the parent or court-appointed legal guardian of the minor participant named in this agreement, that I am at least 18 years old, and that I have the legal authority to sign this agreement and to make athletic, medical, and privacy decisions for the child. I certify that the information I provide (including the child's identity and medical information) is true and accurate. If any custody order or restriction affects the child's participation, media, data, or pickup, I will disclose it, and I will notify Apex Player, LLC if my authority changes. I understand that Apex Player, LLC is not responsible for resolving custody disputes.

2. Description of Activities

I understand my child will take part in soccer and speed/agility/quickness (SAQ) training, which may include passing, shooting, dribbling, defending, tackling and contact, small-sided games, scrimmages, and goalkeeper activities; sprinting, acceleration and deceleration, cutting, jumping and landing, change of direction, reaction drills, resistance work, and conditioning; the use of equipment such as cones, hurdles, agility poles and ladders, goals, rebounders, soccer balls, timing gates, and wearable devices; conducted indoors or outdoors, including in Arizona heat and sun.

3. Acknowledgement & Assumption of Risk (Please read carefully)

I understand these activities are physically demanding and involve INHERENT AND UNAVOIDABLE RISKS OF INJURY, including serious, catastrophic, permanent injury or death. These risks include, but are not limited to: contact with players, coaches, equipment, goals, rebounders, and agility equipment; falls and contact with natural grass, artificial turf, or uneven, wet, or slippery surfaces; heat, sun, and hot turf; and physical exertion. Foreseeable injuries include sprains, strains, fractures, dislocations, cuts, bruises, dental and eye injuries, concussions, head/neck/back injuries, heat cramps, heat exhaustion and heat stroke, dehydration, cardiac events, and — although uncommon — catastrophic injury, permanent disability, or death, including from the ordinary negligence of others. Knowing and appreciating these risks, I voluntarily choose for my child to participate and I EXPRESSLY ASSUME ALL RISKS of participation, whether or not specifically listed above.

4. Release & Waiver of Liability (Including Ordinary Negligence)

In consideration of my child being permitted to participate, TO THE FULLEST EXTENT PERMITTED BY ARIZONA LAW, I, on behalf of myself, my child, and our heirs, executors, administrators, and assigns, hereby RELEASE, WAIVE, AND DISCHARGE Apex Player, LLC, doing business as Apex Player, together with its members, managers, officers, employees, trainers, coaches, independent contractors, volunteers, agents, affiliates, successors, assigns, facility owners, equipment providers, event organizers, and other persons or entities acting on its behalf (collectively, the “Released Parties”) from any and all claims, demands, liabilities, damages, costs, or expenses of any kind arising out of or related to my child's participation, INCLUDING CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF ONE OR MORE OF THE RELEASED PARTIES. This release does NOT apply to, and I do not waive, claims for gross negligence, recklessness, or willful or wanton misconduct, or any liability that may not be released under Arizona law. I understand Arizona courts scrutinize releases, that this affects my legal rights, and that I sign it freely and voluntarily.

5. Covenant Not to Sue

To the maximum extent permitted by law, I agree that I will not initiate, bring, or maintain any lawsuit, claim, or demand against the Released Parties for any of the claims released above. This covenant not to sue is in addition to, and independent of, the release and waiver above. If I bring a released claim contrary to this covenant, I agree to be responsible for the resulting costs to the extent permitted by law.

6. Limited Indemnification

To the extent permitted by Arizona law, I agree to indemnify and hold harmless the Released Parties from claims, losses, and reasonable costs (including attorneys' fees) arising out of: (a) knowingly inaccurate or incomplete information I provide (including medical or identity information); (b) my child's misconduct; (c) intentional property damage by my child; (d) violations of program or facility rules; or (e) unauthorized representations about my authority to sign. This provision does not require indemnification for a Released Party's own gross negligence or willful misconduct.

7. Participant Health Certification

I represent that, to my knowledge, my child is physically capable of participating in these activities, and that I have disclosed any relevant limitations, allergies, medications, or medical conditions that Apex Player, LLC reasonably needs to know for safe participation. I understand that Apex Player, LLC does not determine whether my child is medically fit, does not provide medical diagnosis or treatment, and does not guarantee the prevention of injury; the parent/guardian and the child's healthcare providers retain that responsibility.

8. Emergency Medical Authorization

If my child is injured or has a medical emergency and I cannot reasonably be reached, I authorize Apex Player, LLC personnel to: provide reasonable first aid; contact EMS/911; use an AED if available and appropriate; arrange emergency transportation; communicate relevant information to emergency personnel; and consent to emergency treatment by a licensed provider. I understand Apex Player, LLC personnel are not physicians and that this authorization does not obligate Apex Player, LLC to provide medical treatment beyond reasonable emergency response. I remain responsible for the cost of any medical care.

9. Concussion & Head-Injury Acknowledgement

I understand the signs and dangers of concussion and other head injuries. I agree that if my child is suspected of sustaining a concussion or head injury, they will be immediately removed from activity, that no trainer will clear the child to return based on appearance alone, that Apex Player, LLC will notify me, and that return to play will follow the medical-clearance standard under Apex Player, LLC's policy and applicable law. Where activities take place on school-district property, I understand additional Arizona concussion requirements may apply.

10. Arizona Heat-Illness Acknowledgement

Because Apex Player, LLC conducts outdoor athletic training in Arizona, I acknowledge the risks of heat, including dehydration, heat cramps, heat exhaustion, and heat stroke. I agree that Apex Player, LLC may mandate hydration breaks, modify or reduce training intensity, move or stop activities, and remove any player showing symptoms of heat illness. I will ensure my child is hydrated and dressed appropriately for the conditions.

11. Participant Conduct & Safety Rules

My child and I agree that the child will follow coach instructions, use equipment appropriately, behave safely, not intentionally harm others, promptly disclose injuries or symptoms, and comply with facility rules. I understand Apex Player, LLC may remove a participant from an activity when staff reasonably believe continued participation creates a safety risk to the child or others.

12. Supervision, Drop-off & Pickup

I understand that Apex Player, LLC's supervision of my child begins at the designated session start or check-in and ends at the designated conclusion or pickup. Apex Player, LLC is not responsible for supervising my child before check-in or after the session concludes, and I am responsible for timely drop-off and pickup. I will identify the individuals authorized to pick up my child during registration, and I understand Apex Player, LLC may require identification before releasing the child where reasonably necessary.

13. Personal Property

I understand that Apex Player, LLC is not responsible, except as required by law, for lost, stolen, or damaged personal property, including phones, bags, clothing, cleats, jewelry, electronics, or wearable devices.

14. Children's Data & Privacy Consent (COPPA)

I consent to Apex Player, LLC's collection, use, and storage of the required information described above (account/profile and performance data needed to provide the service) as described in the Apex Player Privacy Policy, to operate the program, track development, and communicate with our household. Because my child may be under 13, this is my parental consent under the Children's Online Privacy Protection Act (COPPA). Apex Player, LLC uses a method reasonably designed, considering available technology, to confirm that I am the child's parent or guardian. Before any of my child's information is disclosed to third parties or made public (for example, an optional public profile or leaderboard), Apex Player, LLC completes a stronger, recognized verification method — such as a verified payment transaction that provides notice to the account holder, government-ID verification, a signed form, or staffed telephone/video verification. Apex Player, LLC will not require more information than is reasonably necessary, will maintain reasonable security, and will limit retention. At any time I may review the information collected about my child, correct or delete it, refuse further collection or use, and control disclosure, by contacting player@apexplayerapp.com. Whether the required consent has legally been verified depends on the verification Apex Player, LLC actually performs, not on this acknowledgement alone.

15. Athletic Performance & Wearable Data

I consent to the collection and use of my child's Athletic Performance Data (such as speed, acceleration, distance, touches, ball mastery, drill scores, session results, coach evaluations, and development measurements) and Wearable Data (data received or imported from devices such as foot sensors or their providers) in the child's profile, progress reports, evaluations, and program analytics. I understand third-party devices and services may have their own terms and privacy practices, and that whether particular measurements are treated as biometric identifiers depends on what is collected and how it is processed.

16. No Guarantee of Results

I understand that results vary and that Apex Player, LLC does not guarantee any particular outcome, including athletic improvement, speed or performance gains, team selection, playing time, scholarship or recruitment opportunities, or the prevention of injury.

17. Governing Law, Venue, Severability & Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles, except to the extent applicable federal law or other non-waivable law controls. I agree that the venue for any dispute shall be an appropriate state or federal court located in Maricopa County, Arizona, to the extent permitted by law. If any provision (including any part of the release, covenant not to sue, or indemnification) is held invalid or unenforceable, it shall be enforced to the greatest extent permitted and the remaining provisions shall remain in full force and effect. This signed agreement, together with the specifically-referenced, versioned Apex Player Privacy Policy and Terms, is the entire agreement on its subject matter; it may not be modified orally. I acknowledge I had the opportunity to read it in full and to ask questions before signing.

18. Electronic Signature Acknowledgement

I have read and understand this agreement. Under the U.S. E-SIGN Act and the Arizona Electronic Transactions Act, my typed legal name and drawn signature below are my legal electronic signature and carry the same effect as a handwritten signature, and this agreement may not be denied legal effect solely because it is electronic. I understand Apex Player, LLC will store an immutable record of this signing (including the agreement version and text, my individual acknowledgements, my legal name, relationship, the participant, timestamp, and device/session information) on the child's profile and will email a copy to me.

19. Private Training Video Analysis (Optional)

I grant permission for Apex Player, LLC to record my child during sessions for PRIVATE coaching and player-development analysis (shared only with our household and coaching staff). This is OPTIONAL and separate from any marketing use.

20. Marketing Photo, Video & Likeness (Optional)

I grant permission for Apex Player, LLC to use my child's photos, video, name, and likeness in program marketing — website, social media, promotional materials, and advertisements. This is OPTIONAL and separate from private training analysis; you may decline it and still enroll and use private analysis.

21. Public Profile & Leaderboard (Optional)

I permit Apex Player, LLC to display a limited public profile for the child — first name and last initial, age division, general position, and verified athletic metrics — on public pages and leaderboards. A public profile will NEVER display home address, school or schedule, parent phone or email, precise location, full date of birth, or medical information. This is OPTIONAL; profiles are private by default, and I may disable the public profile at any time.

22. Marketing Email & SMS (Optional)

I consent to receive marketing and promotional messages (such as camps and offers) by email and SMS at the contact details I provide. Message and data rates may apply; I can opt out anytime. This is OPTIONAL and separate from essential, transactional communications about my child's account and sessions (such as schedule changes), which are part of using the service.
